Investment Products​

The following persons are “prescribed” as professional investors under the Securities and Futures (Professional Investor) Rules (as extracted):

• Trust corporations –a trust corporation having been entrusted under one or more trusts of which it acts as a trustee with total assets of not less than HK$40 million or its equivalent in any foreign currency.

• Individuals –
  1. An individual having a portfolio of not less than HK$8 million or its equivalent in any foreign currency, when any one or more of the following are taken into account:
     1. A portfolio on the individual’s own account;
     2. A portfolio on a joint account with the individual’s associate;
     3. The individual’s share of a portfolio on a joint account with one or more persons other than the individual’s associate;
     4. A portfolio of a corporation which, at the relevant date, has as its principal business the holding of investments and is wholly owned by the individual.

• For the purposes of paragraph (b)(1)(3), an individual’s share of a portfolio on a joint account with one or more persons other than the individual’s associate is:
  1. The individual’s share of the portfolio as specified in a written agreement among the account holders; or
  2. In the absence of an agreement referred to in paragraph (A), an equal share of the portfolio.

• Corporations – a corporation to be considered as a Corporate Professional Investor includes:
  1. A corporate having:
     1. A portfolio of not less than HK$8 million or its equivalent in any foreign currency; or
     2. Total assets of not less than HK$40 million or its equivalent in any foreign currency,
  2. A corporation which, at the relevant date, has as its principal business the holding of investments and is wholly owned by any one or more of the following persons:
     1. A trust corporation specified in paragraph (a) above;
        • An individual specified in paragraph (b)(1) above;
        • A corporation specified in this paragraph or paragraph (c)(1) above;
        • A partnership specified in paragraph (d) below;
        • A professional investor within the meaning of paragraph (a), (d), (e), (f), (g) or (h) of the definition of “professional investor” in section 1 of Part 1 of Schedule 1 to the SFO; or
     2. A corporation which, at the relevant date, wholly owns a corporation referred to in paragraph (c)(i).

• Partnerships – a partnership having:
  1. A portfolio of not less than HK$8 million or its equivalent in any foreign currency; or
  2. Total assets of not less than HK$40 million or its equivalent in any foreign currency
